Shareholder structure

Drägerwerk AG & Co. KGaA’s subscribed capital amounts to EUR 32,512,000 and is divided into 6,350,000 common shares and 6,350,000 preferred shares. 100 percent of common shares are attributable to the Dräger family. The non-voting preference shares are listed on the German Stock Exchange and are all free floating in accordance with the German Stock Exchange definition. Due to the type of shares (bearer shares), the Company does not have a share register, as there would be, for example, in the case of registered shares.
The reporting requirement pursuant to Sec. 21 WpHG on the acquisition or sale of
voting rights in an issuer exclusively relates to voting shares and not to non-voting Dräger preference shares. We therefore have not provided any detailed information on the shareholder structure of Dräger’s preference shares at this point.
97.87 percent of Drägerwerk AG & Co. KGaA’s common shares are held by Dr. Heinrich Dräger GmbH and is virtually the only asset of this company. The shares of Dr. Heinrich Dräger GmbH are chiefly held by members and companies of the Dräger family.
The voting rights attached to the common stock are owned by the Dräger family due to this structure. In accordance with Sec. 22 (1) Sentence 1 No.1 WpHG, 97.87 percent of the voting rights of Dr. Heinrich Dräger GmbH are held by Stefan Dräger GmbH as the majority shareholder.
