| As Drägerwerk AG, Lübeck, communicated after a Supervisory Board meeting, the two major division parents, Dräger Medizintechnik GmbH and Dräger Sicherheitstechnik GmbH, will change with effect as from July 1, 2001, their legal form from a closely held company ("GmbH") to a commercial partnership limited by shares ("KGaA"). Their cor-porate names will then read "Dräger Medical AG & Co. KGaA" and "Dräger Safety AG & Co. KGaA," respectively. This change of legal form has essentially three reasons:

| - Firstly, these companies obtain their own M&A currency to fund future acquisitions through share issuance.
|
|
| - Secondly, the cornerstones are laid for potential IPOs and thus, these two high-growth companies can increase their capital.
|
|
| - Thirdly, the new legal form does more justice to the present size of the two compa-nies, which rank among the world leaders in their market segments: Medical Technol-ogy generates sales of DM 1.4 billion with 5,000 employees, and Safety Technology DM 740 million with a workforce of 3,000.

|
| - Since it is only the legal form that changes, all contracts and agreements now existing between Drägerwerk AG and Dräger Medizintechnik GmbH (the future Dräger Medical AG & Co. KGaA) or Dräger Sicherheitstechnik GmbH (the future Dräger Safety AG & Co. KGaA) will remain in force and effect unchanged, as will all those between the two companies and their employees, suppliers, customers, etc.

| - Also unchanged will be the concurrent Executive Board membership of Dr. Wolfgang Reim and Prof. Dr. Albert Jugel at both the division parents and Drägerwerk AG. |
